Allscripts Buys Eclipsys for $1.3 Billion to Expand in Software - June 9, 2010
Orlando Florida -- Allscripts-Misys Healthcare Solutions Inc. agreed to buy Eclipsys Corp. for $1.3 billion in stock, creating a software company that will allow U.S. doctors and hospitals to share patients’ records.
The acquisition values Atlanta-based Eclipsys at $22.10 a share, 19 percent above yesterday’s closing price on the Nasdaq Stock Market. Misys Plc, the U.K. company that owns 54.6 percent of Allscripts, will sell much of its stake to facilitate the transaction, Misys said in a statement. Misys rose the most since September 2008 in London trading after saying it will return most of the proceeds to shareholders.
U.S. health-care computing providers are looking to take advantage of laws in the U.S. that emphasize new technologies to reduce the costs of patient care. The combined company will have more than 180,000 U.S. doctors, 1,500 hospitals and almost 10,000 nursing homes as clients, the companies said in a statement today.
The combination “creates a ‘hub’ of large and well- respected hospitals that will accelerate connections” to physicians’ practices, Allscripts Chief Executive Officer Glen Tullman said in the statement. “We are at the beginning of what we believe will be the single fastest transformation of any industry in U.S. history.”
Allscripts specializes in information systems for doctors’ offices, while Eclipsys provides software to hospitals and health systems, the companies said. A U.S. law passed last year to boost the economy provides about $30 billion in federal funding for hospitals and doctors to adopt electronic health records, they said.

Tullman will be chief executive of the combined company. Philip Pead, Eclipsys’s president and CEO, will serve as chairman, working full-time on client and strategic relationships, the companies said. The board will initially include directors from both Eclipsys and Allscripts and the deal will close in about four to six months, they said.
Shareholders of Eclipsys, based in Atlanta, will receive 1.2 Allscripts shares for each Eclipsys share. The deal, which the companies described as a merger, values Eclipsys at about 30 times this year’s estimated earnings per share, according to Bloomberg data. U.S. medical-information technology companies on average sell for about 24 times this year’s expected earnings, the data show.
The purchase will add to Allscripts earnings in 2011, using a method that doesn’t meet generally accepted accounting principles, Allscripts said. Savings over the first three years after completion of the deal will total more than $100 million, the company said.
Shares Fall
Eclipsys fell 23 cents, or 1.2 percent, to close at $18.51 yesterday in Nasdaq Stock Market trading. The stock has risen 6.3 percent in the past year, compared with a 27 percent rise in the S&P 600 Health Care Index. Allscripts fell 25 cents, or 1.3 percent, to close at $18.42 yesterday in Nasdaq trading.
The sale by Misys ends an investment of less than two years in Allscripts. Shares of the U.S. company have more than tripled since October 2008, when Misys paid $330 million in cash to merge its health-care unit with Allscripts.
Misys will sell about 68 million Allscript shares through a secondary offering and via share repurchases by Allscripts, raising about $1.3 billion, the Evesham, U.K.-based provider of industry-specific software said. Misys plans to return about $1 billion to shareholders by starting a tender offer for stock, the company said.
‘Great Deal’
“It’s a great deal for Misys and their shareholders,” Roger Phillips, an analyst at Evolution Securities in London, said by phone. “They had been talking about the long-term future of the health-care business and now they’re selling out, but at an extremely good price.” He has a “neutral” recommendation on the stock.
Misys rose 44 pence, or 20 percent, to 267.5 pence at 9:10 a.m. in London. The stock gained as much as 26 percent, the biggest intraday advance since September 2008.
Investment bankers from UBS AG, Barclays Capital and JPMorgan Chase & Co. advised Allscripts on the deal, while Blackstone Group LP and William Blair & Co. were financial advisers to the Allscripts audit committee. UBMD Selects Allscripts Electronic Health Record - June 7, 2010

"The Allscripts electronic health record will let us develop a single, comprehensive patient record across multiple practices while still enabling our physicians in different specialties to refine and customize the type of information they enter and the way they work," said Michael Quinn, Chief Financial Officer of UBMD, a multispecialty group practice whose 450 physicians are faculty at the University at Buffalo School of Medicine and Biomedical Sciences.
UBMD physicians work in 18 practices across Western New York and also practice at affiliated institutions including Kaleida Health and Erie County Medical Center Corporation. The group will initially implement the Electronic Health Record for 35 physicians and intends to complete the roll out to its physician base within two years.
Streamlined experience for patients
Mr. Quinn continued, "Now each provider in our 18 practices will be able to see what's going on with the patient, which supports our effort to deliver one-stop shopping for patients by referring them to other UBMD providers. It's a streamlined experience for both patients and providers."
UBMD's Internal Medicine division has used the Allscripts Electronic Health Record successfully since 2004. But when UBMD went looking for an enterprise EHR for the full group, they formed a physician-led committee to conduct an exhaustive review of other products on the market.
Research capabilities were critical
"Because we're a research organization as well as a clinical practice, we needed an EHR that could collect, store and retrieve data to support an academic practice," said Peter Winkelstein, M.D., Chief Medical Informatics Officer of UBMD and Chief of the Division of Pediatrics at the Women and Children's Hospital of Buffalo. "Above all, we really needed a product that would be able to collect data coherently and report on it coherently, and Allscripts very rapidly emerged from the herd on that front."
To help with its research efforts, UBMD will deploy Allscripts Analytics, which enables automatic tracking of performance on financial and quality measures – for example, the percentage of all diabetic patients whose blood glucose levels are not controlled – and also provides proactive patient and population management.
Allscripts also satisfied UBMD's other criteria for an enterprise Electronic Health Record – the proven ability to build interfaces with hospital inpatient information systems, and a strong patient portal solution, Winkelstein said.

Allscripts will integrate the Electronic Health Record with UBMD's existing practice management system from GE, and with the inpatient information systems of its teaching hospitals.

Can Meaningful Content Encourage Meaningful Use of EHR systems? - June 7, 2010

Starting in 2011, the Centers for Medicare & Medicaid Services (CMS) will provide a reimbursement incentive for physician and hospital providers who are successful in becoming “meaningful users” of an electronic health record (EHR). Starting in 2015, providers are expected to have adopted and be actively utilizing an EHR in compliance with the “meaningful use” definition or they will be subject to financial penalties under Medicare.
With so much attention and so many dollars tied to the meaningful use of EHR systems, an effective strategy is to provide more “meaningful” content (especially drug content) directly from the health record itself. Many systems allow for this functionality; however, the more important considerations are the quality of the drug database, appropriateness for all patient populations, and the ability to quickly and easily obtain the correct answer. Integrating or even linking to meaningful clinical information from your EHR can be an effective strategy to make your EHR more meaningful as well.

Just to make sure we are all turned to the same page in our Cliff Notes on Meaningful Use, today’s conversation is, “There is no “R” in ROI.”
Are you familiar with the Abilene paradox? It is a paradox in which a group of people collectively decide on a course of action that is counter to the preferences of any of the individuals in the group. It involves a common breakdown of group communication in which each member mistakenly believes that their own preferences are counter to the group’s and, therefore, does not raise objections.
I think it occurs more often than we think. Try to recall the last meeting you attended in which you really disagreed with something that was said. Chances are you knew some of the others in the meeting well enough to know they also disagreed. The reason you know they also disagreed is because you had discussed the topic. However, none of you raised your disagreement during the meeting. Why? Because you did not want to rock the boat.
It is similar to a pseudoconsensus. Pluralistic ignorance. These create a bystander effect—people are more likely to speak out about an issue when they are alone with someone than when others are present.
After further consideration I think we must consider the very real possibility that there is no ROI for Meaningful Use. I write this in all sincerity. Healthcare executives march in lock-step or group think to achieve the myth of finding an ROI for Meaningful Use. The ROI is healthcare’s quest for the Holy Grail, albeit without the Monty Python sound track. They cannot proceed without one, so they set the target, figure out what data will demonstrate that they have hit it, and disregard the reams of data that does not support the ROI.
What if the government came out with a standard stating all hospitals ought to buy, install, and use a fifty million dollar transplant device that also flosses the patient’s teeth? This initiative is “optional”, but the government will pay the hospital a two hundred thousand dollar rebate. There are several types of transplant flossers—the ones that deliver that fresh mint taste cost extra.
If we were having a business discussion about the ROI for the transplant device, healthcare executives would be foaming at the mouth about how impossible it would be to calculate an ROI, and rightly so. They would argue all hospitals are different, they have different cost structures, the devices are all different.
The standards for Meaningful Use are arbitrary. The standards were developed by people who do not need to meet an ROI. There was no mandate in the development of those standards to create standards which when met would yield an ROI. Any attempt to force an ROI will naturally differ in a number of ways:
•by provider—size, structure, offering, geography
•by their interpretation of Meaningful Use
•by which EHR they implemented
•when they began the implementation
•how well they implemented the EHR
Somebody somewhere may hit a positive ROI on Meaningful Use, just like somebody playing darts may hit a bull’s eye. Any positive ROI will be accomplished more out of chance, and from having fit the data to a predetermined ROI rather than measuring the ROI against its true impact.
Implementing an EHR can be very good for a hospital. However, it should be a business decision for the hospital based on the same set of business rules the hospital would use to justify any other large expenditure. If the hospital achieves an ROI it will not be because of having followed an arbitrary set of standards. Any ROI for an EHR will come from having done it correctly. Hitting the figure any other way means two things; it was a coincidence, or you are in for trouble down the road.

Allscripts Enters Agreement - June 4, 2010

Allscripts-Misys Healthcare Solutions Inc. (MDRX: 18.91 -0.83 -4.20%) recently entered into an agreement with Maimonides Medical Center , the premier academic medical center in Brooklyn . Per the agreement, Maimonides Medical Center has selected the Allscripts Care Management solution to increase the efficiency of utilization management and discharge planed as well as and coordinated service to its patients. Financial terms of the agreement have not been disclosed.

The Department of Health and Human Services (hhs) Outlines Regulations for the Use and Dissemination of Individual Health Care Information - June 4, 2010

HIPAA, Administrative Simplification (AS) provisions, defines rules and requirement on privacy and security practices of health care information. In Title II, the Department of Health and Human Services (HHS) outlines regulations for the use and dissemination of individual health care information.
These rules apply to covered entities, including health plans, health care clearinghouses, such as outsourced billing companies and community health information systems and health care providers that transmit health care information in a way that is regulated by HIPAA. [Code of Federal Regulations

The Privacy Rule establishes regulations for the use and disclosure of Protected Health Information (PHI). PHI is any information about health status, provision of health care, or payment for health care that can be linked to a person. This includes any part of a patient’s medical record or payment history. [Code of Federal Regulations. Title 45, Volume 1]
Security Rule deals specifically with Electronic Protected Health Information (EPHI) and requires Administrative Safeguards - policies and procedures designed to clearly show how the entity will comply with the act
Covered entities that out-source parts of their business processes to a trusted third party must ensure that their vendors also have a framework in place to comply with HIPAA requirements. Companies typically gain this assurance through clauses in the contracts stating that the vendor will meet the same data protection requirements that apply to the covered entity. Care must be taken to determine if the vendor further out-sources any data handling functions to other vendors and monitor whether appropriate contracts and controls are in place.
A contingency plan should be in place for responding to emergencies. Covered entities are responsible for backing up their data and having disaster recovery procedure. The plan should document data priority and failure analysis, testing activities, and change control procedures.
Internal audits play a key role in HIPAA compliance by reviewing operations with the goal of identifying potential security violations. Audits should be both routine and event-based.
In order to have an online backup that is HIPAA compliant you need to meet all the requirements of the Final HIPAA Security rule dated February 2003 and required after April 21, 2005. You should ensure that a backup provider exceeds the standards set in the security rule by encrypting all data before it is sent over a secure SSL connection to the remote backup service. An effective solution is to have the Encryption Key generated by the customer and is known only to the customer and to ensure that the Key is not transmitted to the HIPAA compliant online backup server.
A HIPAA online backup provider should encrypted the data on the server with military grade encryption and not accessible to the backup provider or employees. Ensure that the local backup client encrypts all data prior to transmission to the remote systems. Data can only be recovered by transmitting it back to the local client that decrypts the data using the encryption key.

Electronic Records for Rural Health Care - June 4, 2010

COLUMBIA - MU Medical system is opening an assistance center to help health care providers convert to electronic records.
The University of Missouri was awarded a $6.8 million cooperative federally funded grant to open the Missouri Health Information Technology Assistance Center or HIT. The center will mainly focus on health care providers in rural areas who do not have the resources and support system that larger facilities and systems have. HIT will help every step of the way for facilities to convert.
"[The assistance is] all the way from choosing the electronic health record, to implementing it, to redesigning the work flow in the office and actually getting to meaningful use," said Dr. Karen Edison Center for Health Policy Director.
"Meaningful use" is defined by the federal government. If all government standards are met for "meaningful use," the health center will receive incentives from the government through a stimulus fund.
But, the rural health community is not quite sure if this new program will do the job for individual rural physician offices. Spokesperson for Missouri Health and Senior Services, Brian Quinn, says this program will definitely help rural hospitals but they are still unsure about it reaching to smaller doctors' offices in rural Missouri communities.
Dr. Edison says that electronic records are the future and that rural health care will have to convert soon or later and they are there to make it happen.
"It's truly transformative. It's really going to change the way health care is delivered in this country. And we would like to make sure it is done in a meaningful way that is helpful and not just disruptive. Because it is a big deal to adopt electronic health records, it's really changing the way business is done," said Dr. Edison.
Edison says many in the medical business think that electronic records will save money in the long run, and not just because they are saving paper.
"Too often we end up re-ordering tests on patients because we need to know the information but if it was easily accessible people would use that. Many people think that in some ways that will drive down the cost of health care. We will have less redundancy, less fragmentation," said Edison.
Electronic records will also help the Medicare and Medicaid systems.
"It is particularly important for elderly patients and those with health illiteracy, who may not know what medications they are on or may not be able to tell us about their medical history. Having that information is power for those patients. It empowers them to get better health care," said Edison.
HIT is hoping to empower those in health care in Missouri and its rural areas to convert to electronic records for their patients and the efficiency of the health care system.
